ENTIRE AGREEMENT
This contract supersedes all prior written or verbal agreements and statements made by a Vignette Representative.
PAYMENT
1. A 50% or greater deposit must be maintained on all open orders.
2. Balance due must be paid upon delivery of each item.
3. Credit Card Payments are subject to the guidelines of an independent finance company.
4. Late fees will be assessed on a monthly basis for all unpaid balances
CANCELLING AN ORDER
1. Under priced orders will be cancelled by Vignette when identified unless client agrees to correct pricing
2. Special Orders & Items stocked in Vignette’s warehouse can be cancelled if Vignette is notified within 24 hours of order placement. After 24 hours but before delivery, a special orders & Item stocked in Vignette’s warehouse can be cancelled after a 30% cancellation fee, shipping/freight fees, and delivery fees (when applicable) are paid.
3. Small accessories taken from the showroom can be returned for a refund with 7 days if in perfect condition.
4. Orders for Clearance items cannot be cancelled after the order is placed, no exceptions.
5. Orders cannot be cancelled when one piece of a set is discontinued, but Vignette will assist Client in finding alternative.
6. Reorders and Reselects can never be cancelled.
7. Orders are never cancelable due to delays, but loaner pieces may be available.
8. Orders are never cancelable due to errors, damage, or defects, but Vignette will take prompt appropriate remedial action.
CHANGING AN ORDER
1. Special orders can be changed up to 24 hours after order placement. After 24 hours, Client agrees to pay a 10% fee before the order can be changed.
HOLDING ITEMS IN WAREHOUSE
1. Client agrees to take delivery within 14 days of arrival to Vignette’s warehouse. Vignette will hold items up to 30 days if Clients pay the balance in full. If client does not accept delivery within 30 days, the order will be cancelled, items disposed of and the deposit forfeited.
EXCHANGING ITEMS
1. A one time exchange is available on special order & stock items if requested within 14 days of delivery, a 10% fee is paid, and the item is returned in brand new condition. A 25% fee applies to Pillows, Ottomans, Bedding, and highly customized items.
2. Replacement orders must be equal or greater value. No refunds or unused balances.
3. Replacement orders must be placed within 14 days of approval. Extensions cannot be granted.
4. Multi piece sets must be exchanged as a whole. Credit cannot be issued for individual items.
5. Store Credit or compensation of any kind cannot be issued for client supplied fabrics.
6. Clients living over 100 miles away are responsible for all transportation costs.
7. Reupholstered items cannot be exchanged
8. Vignette reserves the right to refuse to issue an exchange authorization in certain circumstances.
SERVICE & REPAIR POLICIES
1. Service issues are resolved according to the policies in the Vignette Warranty & Service Policies guide.
2. Vignette reserves the right to repair rather than replace damages items. Repairs are guaranteed for 1 year.
3. Clients living over 100 miles are responsible for all service transport costs.
4. Floor Samples are sold AS IS with no service or warranty. Vignette is not liable for subsequent transport or pick-up damage to floor samples.
5. Replacement parts may not always match the original dyelot or finish
DELIVERY
NO FITS
1. Client is responsible to ensure furniture will fit into the home as planned.
2. Vignette is not responsible if furniture does not fit or cannot be delivered without risk of damage or injury.
3. Delivery crews will attempt risky deliveries if client signs a damage waiver.
4. Refunds are not available when items do not fit, including when a fit estimate was performed prior to order placement.
5. Client must pay balance due at time of delivery when an item does not fit.
6. Items that do not fit may be returned and exchanged for items or equal or greater value when the COD plus a 10% restocking fee is paid in full.
7. The restocking fee will not be charged if a fit estimate was performed prior to order placement. Fit estimates are only performed at clients request at a cost of $100.
CANCELLATION OF A SCHEDULED DELIVERY APPOINTMENT
Delivery & Service appointments cancelled within 48 hours are subject to an $85 fee.
DELIVERY DAMAGE
1. Vignette is not responsible for alleged damage reported after the delivery team has left the home.
2. All damage must be notated in writing on signed delivery form or will not be recognized by Vignette
3. Vignette’s liability in case of home damage is contractually limited to repair.
4. Vignette is never liable for replacement of entire floor or wall coverings.
5. Quotes for home repair will be made by Vignette General Contracts or Sub Contractors.
6. Vignette is never liable for any problems arising our of complimentary moving of Clients old furniture.
SAFE USE
1. Client is responsible for prudent placement, safe use and day to day maintenance of each item. Client agrees to routinely inspect furniture to ensure it is in safe condition. Client is responsible to exercise care when setting up, moving furniture or placing items in furniture to ensure against instability, risk of fire, home damage including floor damage, and to avoid risk of tipping.
2. Client assumes responsibility to keep furniture away from cigarette, cigar and other ignition sources that could result in fire.
3. Client assumes responsibility of safe operation of electrical items which if not properly maintained can result in risk of fire.
4. Client indemnifies & holds Vignette harmless for any problems resulting from improper or unsafe use by Client.
5. Vignette is not responsible for any problems related to furniture contact points with flooring, walls or table tops
MISCELLANEOUS
1. COM (Clients Own Material). Scraps cannot be returned & additional yardage may be required at client expense to complete the original order or make subsequent repairs. Vignette is not responsible for Reupholstery of COM items if fabric cannot be obtained to make a repair.
2. No exchanges or service beyond manufacture’s warranty will be provided on price matched orders
3. Variations in color, texture and natural markings of wood, fabric, metal and leather are common and cannot be avoided. Vignette cannot be liable for any concerns resulting from such variations. These variations cannot always be represented in showroom swatches.
4. Vignette is not liable for fading under any circumstances.
5. Vignette is not liable for size variations of 10% or less.
6. Vignette is not liable for pilling.
7. Vignette is not responsible when existing headboards, mattresses and bed frames do not match new items.
CONSEQUENTIAL DAMAGES
Vignette is not liable for consequential damages of any kind under any circumstances.
